Terms of Service

1. Acceptance of Terms

By accessing or using NeoGuru (available at neo-guru.com), you agree to be bound by these Terms of Service and all terms incorporated by reference. If you do not agree to all terms, do not use NeoGuru.

These terms may be updated at any time. Continued use of NeoGuru constitutes acceptance of updated terms.

2. Definitions

• Platform: NeoGuru, the SaaS software available at neo-guru.com
• Rezizz / We / Us / Our: Rezizz, a partnership firm operating NeoGuru
• Coach: A paying subscriber who uses NeoGuru to manage their coaching practice
• Client: An end-user invited by a Coach to participate in coaching on NeoGuru
• User: Either a Coach or Client
• Services: All features, software tools, hosting, and support provided by NeoGuru
• Content: All user-generated material including messages, journal entries, goals, posts, files, and other data created by Users on the Platform

3. Eligibility

To use NeoGuru, you represent and warrant that:

• You are at least 18 years of age
• You are legally competent to enter into binding agreements under Indian law
• You have provided a valid email address
• You will use NeoGuru only for lawful purposes and in compliance with all applicable laws
• You are not under sanctions, on a list of prohibited users, or restricted from using the internet

If any representation is untrue, your use of NeoGuru is unauthorized and you must stop using it immediately.

4. Account Registration & Security

Account creation: Coaches self-register via signup form. Clients are invited by their Coach and create an account by setting a password.

One account per person: You may not create multiple accounts or accounts on behalf of others. Each account must be registered in your own name.

Password responsibility: You are responsible for:

• Maintaining the confidentiality of your password
• Notifying us immediately of any unauthorized access (email hello@rezizz.com)
• All activity that occurs under your account

Rezizz is not liable for unauthorized access resulting from your failure to protect your password.

5. Platform Services

5.1 What NeoGuru Provides

NeoGuru provides software tools to support coaching practices:

• Session scheduling and reminders
• Coach-Client messaging
• Journal entries with mood tracking
• Goal and task management
• Payment collection and invoicing
• Resource sharing (files, videos, audio)
• Community features (groups, posts)
• Analytics and progress tracking
• Zoom integration for video calls
• Google Calendar integration
• AI-powered meeting summaries and insights (via Anthropic Claude API)

5.2 Critical: What NeoGuru Does NOT Provide

NeoGuru is NOT a medical, mental health, or therapeutic service. We are a software platform for organizing coaching practices. We do not provide:

• Coaching, counselling, or therapy services
• Medical advice, diagnosis, or treatment
• Mental health or psychiatric care
• Crisis intervention or emergency services

5.3 Service Availability

We aim to maintain 99.5% uptime. However, NeoGuru is provided "as-is" and we do not guarantee uninterrupted service. We may:

• Perform maintenance with 48-hour advance notice (via email and in-app)
• Suspend service for security incidents
• Experience unexpected downtime due to third-party failures or external events

5.4 Beta Features

Some features may be labeled as "beta" or "experimental". Beta features are provided "as-is" without warranty. We may modify or remove beta features at any time without notice.

5.5 AI-Powered Features

Certain features of NeoGuru may use artificial intelligence services, including Anthropic's Claude API, to generate summaries, insights, and recommendations from user-provided data. These features operate solely to deliver functionality within the platform. AI-generated content is supplementary and should be reviewed by the user — NeoGuru and Rezizz are not liable for actions taken based on AI-generated outputs. User data processed via AI services is not used to train or improve AI models.

6. Coach Responsibilities

As a Coach subscriber, you acknowledge and agree to:

• Professional independence: You are an independent professional, not an employee or agent of Rezizz
• Licensing & qualifications: You are responsible for maintaining all required professional licenses and qualifications
• Professional liability: You carry professional liability insurance if required in your jurisdiction. Rezizz does NOT provide insurance.
• Accurate billing: You are responsible for accuracy of your invoices and payment requests
• Legal compliance: You comply with all applicable laws in your jurisdiction
• Data Fiduciary obligations: You are a "Data Fiduciary" under DPDP Act 2023 (see Section 11 of Privacy Policy). You must:
  • Obtain explicit written consent from each client before processing their data
  • Maintain your own privacy policy
  • Respond to client data requests within 30 days
  • Be responsible for any data breaches you cause
• Content responsibility: You are responsible for all content you create, share, or store on NeoGuru

7. Client Responsibilities

As a Client on NeoGuru, you acknowledge and agree to:

• Accurate information: You provide truthful, accurate information during signup and in your coaching profile
• Lawful use: You use NeoGuru only for lawful purposes related to your coaching relationship
• Payment obligations: If your Coach charges fees, you are responsible for payment. Payments are to your Coach, NOT Rezizz.
• Confidentiality: You respect the privacy and confidentiality of other users

8. Payments & Billing

8.1 Coach Subscriptions

Coaches pay Rezizz a subscription fee for platform access. Subscription terms are specified in the Coach signup flow. Coaches may cancel their subscription at any time via account settings. Refunds for the current billing cycle are generally not provided unless required by law. However, if the NeoGuru service is unavailable for more than 48 consecutive hours due to a Rezizz-controlled outage, a pro-rata credit for the affected period may be issued upon request to hello@rezizz.com.

8.2 Coach-to-Client Payments

Critical: NeoGuru facilitates payments from Clients to Coaches via:

• Razorpay (UPI, card, netbanking)
• Instamojo (UPI, bank transfer)
• Direct UPI transfers

Important facts:

• Rezizz is a facilitator, NOT a custodian: We do not hold or manage Client-to-Coach funds. Payments go directly from Client to Coach (via payment gateways).
• Disputes between Coach and Client: Disputes over coaching fees, refunds, or payment terms are between Coach and Client. Rezizz does not mediate payment disputes.
• Consumer protection: Your consumer protection rights under the Consumer Protection Act 2019 are preserved. Rezizz is not party to the coaching service — Coaches and Clients are.
• No stored payment details: We do not store credit card numbers, CVV codes, bank account numbers, UPI credentials, or other sensitive payment information on our servers. All payments are processed by certified third-party payment processors (Razorpay, Instamojo) operating their own PCI-DSS compliant infrastructure.

8.3 Invoices & Records

Coaches can generate invoices via NeoGuru for their own record-keeping and accounting. Clients should maintain records of all payments for accounting and tax purposes.

9. User Content & Intellectual Property

9.1 Ownership of Content

You retain ownership of all Content you create on NeoGuru. You grant Rezizz a limited, non-exclusive license to:

• Store and host your Content on our servers
• Display your Content to you and authorized users
• Make technical copies for backup and security purposes
• Comply with legal requests

You do NOT grant us the right to use, modify, copy, distribute, or sell your Content for any purpose beyond operating NeoGuru.

9.2 Rezizz Intellectual Property

Rezizz retains all rights to:

• The NeoGuru platform, code, design, and software
• Logos, trademarks, and branding
• Documentation and materials

You may not reverse engineer, decompile, modify, or create derivative works from NeoGuru.

9.3 Prohibited Content

You agree NOT to upload, post, or store Content that is:

• Illegal, harassing, threatening, abusive, defamatory, or obscene
• Infringing on third-party intellectual property rights
• Violating third-party privacy rights
• Fraudulent, deceptive, or misleading
• Spammy or unsolicited commercial messages
• Medical prescriptions, diagnoses, or medical advice (for Coaches writing notes)

9.4 Content Moderation

If prohibited Content is reported to us:

• Investigation (5 days): We investigate the report
• Action (removal + notice): If we determine Content violates these terms, we remove it and notify you
• Appeal (7 days): You have 7 days to appeal the removal with new evidence
• Repeat violations: Repeated violations may result in account suspension or termination

9.5 Copyright Takedown Procedure

If you believe Content on NeoGuru infringes your copyright, submit a takedown notice to:

Include: (1) your name and contact info, (2) description of the copyrighted work, (3) specific URL of the infringing Content, (4) statement that you have a good-faith belief the use is unauthorized, (5) signature (electronic is fine).

10. Privacy

Your use of NeoGuru is governed by our Privacy Policy at /legal/privacy-policy. Please read the Privacy Policy carefully — it describes how we collect, use, and protect your data.

11. Third-Party Integrations

NeoGuru integrates with third-party services (Zoom, Google Calendar, Razorpay, etc.). Your use of these services is subject to their terms and privacy policies. Rezizz is NOT responsible for:

• Third-party service interruptions or failures
• Data collection or use by third parties
• Third-party security breaches
• Changes to third-party services or policies

We select reputable third-party providers; however, their services are governed by their own terms and policies. Rezizz makes no warranty regarding third-party services.

Google and Zoom integrations are initiated by the user and limited to enabling user-facing features such as scheduling, managing calendar events, and video conferencing. We do not access or use data from these integrations beyond what is necessary to provide these features. Our use of Google API data adheres to the Google API Services User Data Policy, including the Limited Use requirements.

Data deletion for integrations: Users may disconnect any integration at any time via NeoGuru Settings. Users may also delete their account and associated data directly through in-app account settings (Settings → Danger Zone) or by contacting support at hello@rezizz.com. Data deletion is processed in accordance with our Privacy Policy.

12. Prohibited Conduct

You agree NOT to use NeoGuru to:

• Harass, threaten, or abuse other users
• Gain unauthorized access to NeoGuru or user data
• Scrape, crawl, or mass-download Content from NeoGuru
• Reverse engineer, decompile, or attempt to derive the source code
• Circumvent security measures or access controls
• Introduce viruses, malware, or harmful code
• Send spam, unsolicited messages, or phishing attempts
• Impersonate another user or entity
• Violate any law or regulation

Violations may result in immediate account suspension and legal action.

13. Disclaimer of Warranties

NeoGuru is provided "AS-IS" and "AS AVAILABLE". We disclaim all warranties, express or implied:

• We make NO warranty that NeoGuru is free from bugs, errors, or interruptions
• We make NO warranty that NeoGuru will meet your specific needs
• We make NO warranty regarding the quality of coaching services (Coaches provide those, not Rezizz)
• We make NO warranty that NeoGuru is suitable for medical or mental health purposes
• We make NO warranty regarding the accuracy or reliability of third-party integrations
• We make NO warranty regarding data recovery in case of loss

You use NeoGuru at your own risk. Rezizz is not liable for any issues arising from your use.

14. Limitation of Liability

To the maximum extent permitted by law, Rezizz's total liability is limited to the greater of: (1) fees you have paid to Rezizz in the past 12 months, or (2) Rs 10,000.

In no event shall Rezizz be liable for:

• Indirect, incidental, special, or consequential damages
• Lost profits, lost data, or lost opportunities
• Damages arising from your use of NeoGuru or third-party services
• Coaching outcomes or coaching-related disputes
• Emotional distress or other intangible damages

Some jurisdictions do not allow limitation of liability. In those cases, Rezizz's liability is limited to the extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Rezizz, its employees, and agents from any third-party claims, damages, or costs (including legal fees) arising from:

• Your use of NeoGuru
• Your violation of these terms
• Your Content or conduct on NeoGuru
• Your violation of any law

For Coaches specifically: You indemnify Rezizz for any claims arising from your coaching services, coaching outcomes, or coaching relationships. Rezizz is not responsible for coaching-related disputes or injuries.

16. Termination

16.1 Termination by Rezizz

Rezizz may suspend or terminate your account if:

• You violate these terms
• You engage in illegal activity
• You harass other users
• Your account is used for fraud or abuse

Termination may be immediate for serious violations (no notice required).

16.2 Termination by You

Coaches and Clients can delete their account directly through in-app settings (Settings → Danger Zone) or by emailing hello@rezizz.com. Your data will be deleted per the Privacy Policy (30 days to delete, 90 days to purge from backups).

16.3 Effects of Termination

Upon termination:

• Your right to use NeoGuru ends immediately
• Your data is deleted per the Privacy Policy
• You remain liable for any obligations incurred before termination

16.4 Surviving Obligations

Sections 6 (Coach Responsibilities), 9 (User Content & IP), 13 (Disclaimer of Warranties), 14 (Limitation of Liability), 15 (Indemnification), and this entire Termination section survive termination.

17. Dispute Resolution

17.1 Informal Resolution

Before pursuing formal action, you agree to attempt informal resolution by emailing hello@rezizz.com with details of the dispute. We will respond within 30 days.

17.2 Binding Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration under the Arbitration Act 1996 (India), with the following terms:

• One arbitrator (unless the claim exceeds Rs 1 crore, then three arbitrators)
• Seat of arbitration: Coimbatore, India
• Governed by Indian law
• Language: English
• Costs: Each party bears its own legal costs unless the arbitrator awards costs to the other party

17.3 Exception: Consumer Protection

Notwithstanding arbitration, if you are a "consumer" under the Consumer Protection Act 2019, you have the right to file a complaint with the District Consumer Commission instead of arbitration.This exception does not apply to Coaches (who are using NeoGuru for commercial purposes).

17.4 Non-Arbitrable Matters

Matters that are non-arbitrable under Indian law (e.g., injunctions, specific performance) shall be heard in the courts of Coimbatore, India, and you consent to their exclusive jurisdiction.

18. Force Majeure

Rezizz is not liable for any failure or delay in performing obligations due to causes beyond our reasonable control, including natural disasters, pandemics, wars, government actions, or third-party failures. In such cases, we will use reasonable efforts to resume service.

19. Modifications to These Terms

We may modify these Terms at any time. For material changes, we will provide 30-day notice via email and in-app notification. Your continued use of NeoGuru after changes constitutes acceptance of the updated terms.

20. General Provisions

20.1 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision is severed, and the remaining terms remain in force.

20.2 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced, constitute the entire agreement between you and Rezizz. Previous agreements, understandings, and negotiations are superseded.

20.3 Waiver

Our failure to enforce any provision does not waive that provision or any other provision.

20.4 Assignment

You may not assign these Terms without our written consent. Rezizz may assign these Terms to a successor company with 30-day notice.

20.5 Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles.
